Founded in 1973 and based in Vire, Normandy, Seprolec is an EMS subcontractor specializing in the manufacture of complex electronic boards and assemblies, in small and medium production runs.
With a team of 140 people, Seprolec supports designers of professional and industrial electronics in the development of high value-added products, offering prototype manufacturing, industrialization consulting, functional test design and manufacturing, integration and logistics services. Seprolec serves SME and major OEM customers in the industrial, IOT, defense, medical and transportation sectors. In 2018, Seprolec made its first acquisition with Aria, a company based in the Toulouse basin and employing around 30 people, which notably enabled it to strengthen its presence with defense and aerospace customers.
In this transfer operation designed to prepare for the operational withdrawal of its current CEO, Patrick Soghomonian, the latter wished to associate certain key executives with the company's capital, and called on its long-standing partner Sodero Gestion. Sodero Gestion knows the company well, having accompanied it since its takeover by Patrick Soghomonian in 2008.
Sustained investment over the years and its high standards and technical expertise have enabled Seprolec to grow by diversifying its customer base and sectors of activity. Since 2019, the company has enjoyed strong growth and has weathered the health crisis perfectly. Its strong industrial expertise enables it to manage the current components crisis as effectively as possible. In 2021, Seprolec achieved sales of over €30 million, up sharply on previous years.
Patrick Soghomonian, who wished to prepare his succession, organized a competitive sale process with the support of his advisor Societex. His objective was to enable the management to continue the adventure by selling the majority of the capital. Sodero Gestion naturally stepped in with its Fonds Transmettre et Pérenniser II, accompanied by the investment company Sofiouest. The two investors share the same philosophy, which drives them to support the great industrial adventures of the Grand Ouest region, which generate value and create jobs.
Testimonials :
The Transmettre & Pérenniser team: "We're delighted to continue supporting Patrick Soghomonian by enabling him to put together a secure financial package to pass Seprolec on to his management team. Patrick is not leaving this fine ship, by remaining a shareholder and supporting the transition with the future Managing Director, who will soon take over operational management. With an excellent order book, we intend to pursue our development by continuing to invest in our production facilities, stepping up our sales drive for high value-added products, and keeping a close eye on external growth opportunities. With its Transmettre & Pérenniser entrepreneurial fund model, the strategic committee, which includes several former company directors, will be at the service of management to develop the Group. We are also delighted to be able to associate Sofiouest with this excellent regional transmission project.
Sofiouest team: "This investment is in line with our strategy of supporting the transfer of fine French industrial SMEs. We were convinced by Seprolec's relevant positioning in the market segment for high value-added products in small and medium production runs. Patrick Soghomonian and his team have succeeded in building a benchmark player with strong technical expertise and high-performance industrial facilities, thanks to investments made every year. Our acquisition of a stake in the company will enable it to pursue its ESG efforts, with the aim of achieving sustainable growth rooted in its home territory. We are also delighted to participate in this transaction with the Transmettre & Pérenniser team, with whom we share common values.
Patrick Soghomonian: "This transaction was made possible thanks to a good understanding between the Transmettre & Pérenniser and Sofiouest teams. The challenge of transferring part of the capital to a large majority of the members of the management committee and my presence as a minority shareholder to support this transfer were thus met. Seprolec's development in terms of sales will be supported by a high-quality industrial facility, which will be completed this year by an extension to our buildings to accommodate a new automated line (CMS). This will give the new CEO a real capacity for development.Speakers: Purchasers : Sodero Gestion (Jean-Philippe Dupont, Romain Engrand, Romain Bataille), Sofiouest (Patrice Hutin, Florian Denys), Patrick Soghomonian, managers Corporate lawyers: Léonard Avocats (Alexandre Daniel-Thézard, Antoine Leroux, François Cado) Financial SD: Oderis (Julien Passerat, Maxime Girard) DD legal, tax: Léonard Avocats (Alexandre Daniel-Thézard, Antoine Leroux, François Cado) Social SD: MGG Voltaire (Marijke Granier) SD ESG: Better Way (Elodie Nocquet) Transferors : Patrick Soghomonian, Sodero Gestion
